UAE corporate tax planning in 2026 starts with identifying the taxpayer, the relevant tax period and the rules that apply to its income. Several important measures were introduced before 2026 and continue to affect businesses today. This overview distinguishes those measures from their current compliance implications.
1. Free zone status does not automatically mean zero tax
A Qualifying Free Zone Person can benefit from 0% corporate tax on Qualifying Income while meeting the applicable conditions. Other taxable income may be subject to 9%, and failing the conditions can affect qualifying status. Review the actual activities, income sources, substance and compliance requirements before relying on the free zone regime.
Ministerial Decision No. 229 of 2025 addresses Qualifying Activities and Excluded Activities. Check the applicable legislation and amendments for the period being assessed.
2. Domestic Minimum Top-up Tax applies to in-scope multinational groups
The UAE Domestic Minimum Top-up Tax applies for financial years starting on or after 1 January 2025. Its scope includes UAE constituent entities of multinational groups with consolidated global revenue of at least EUR 750 million in at least two of the four preceding financial years. The framework targets a 15% minimum effective tax rate under its detailed rules; it is not an additional flat 15% charge for every UAE business.
3. Partnerships and family foundations need a separate assessment
Unincorporated partnerships are generally treated as fiscally transparent for corporate tax, with the partners assessed on their respective shares, subject to the applicable rules and any approved election. Eligible family foundations can apply for treatment as an unincorporated partnership. Do not assume that every partnership or foundation has identical registration, filing or tax obligations.
4. Tax group audit requirements require planning
FTA Decision No. 7 of 2025 addresses audited special-purpose financial statements for tax groups and applies to tax periods commencing on or after 1 January 2025. Review the group’s accounting and audit requirements with its advisers. This is a tax-group requirement and should not be presented as an identical audit rule for every company.
5. Calculate the deadline from the correct tax period
Corporate tax returns and payment are generally due within nine months after the end of the relevant tax period. For example, a period ending 31 December 2025 generally has a 30 September 2026 deadline. Your deadline depends on your own tax period. Check any applicable relief or specific extension separately.
Common questions
Does the AED 375,000 threshold mean every startup pays no tax? No. Under the standard corporate tax regime, 0% applies to taxable income up to AED 375,000 and 9% to the excess. Taxable income can differ from accounting profit. Qualifying Free Zone Persons and in-scope multinational groups require separate analysis. Registration and filing duties may remain even where no tax is payable.
Is Small Business Relief the same as the 0% band? No. It is a separate relief with eligibility conditions and an election. Assess the applicable revenue, period and taxpayer requirements before claiming it.
What should I prepare? Keep reliable accounts, identify the correct tax period, review related-party transactions and obtain advice on reliefs and filing obligations before the deadline.
